Terms of Use & End User License Agreement

These Terms of Use and End User License Agreement (the "Agreement") govern your use of Keystone Command, software provided by Keystone Development LLC ("Keystone", "we", "us"). By accessing or using Keystone Command you agree to this Agreement. If you do not agree, do not use the software.

1. The software

Keystone Command is construction and project management software used to manage projects, schedules, checklists, documents, photos, contacts, and project budgets. Access is by invitation only and is intended for Keystone Development, its staff, and its authorized clients and subcontractors.

2. License

Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Keystone Command for your internal business purposes during the term of your authorized access. You may not sublicense, resell, reverse engineer, or attempt to derive source code from the software.

3. Accounts and acceptable use

  • You are responsible for the confidentiality of your credentials and for activity under your account.
  • You may not use Keystone Command unlawfully, attempt to gain unauthorized access, interfere with its operation, upload malicious code, or use it to store unlawful content.
  • You may only access data you are authorized to access.

4. Optional QuickBooks Online integration

  • The QuickBooks Online integration is optional. Keystone Command is fully usable without it.
  • By connecting, you authorize Keystone Command to access information from your QuickBooks Online company through Intuit's API, within the scope you approve on Intuit's consent screen.
  • The integration is intended and built to operate in read-only mode. Keystone Command does not create, edit, delete, void, post, approve, pay, send, or otherwise modify accounting data in your QuickBooks company.
  • Keystone Command does not replace QuickBooks as your accounting system of record. QuickBooks Online remains the authoritative accounting source. Figures displayed in Keystone Command are a convenience view and may lag, be incomplete, or be affected by mapping choices you make. Always rely on QuickBooks Online for accounting, tax, audit, and financial-reporting purposes.
  • You are responsible for maintaining appropriate QuickBooks user permissions and for ensuring that the person who authorizes the connection is entitled to do so.
  • You may disconnect at any time from Settings inside Keystone Command.

5. Relationship to Intuit

Keystone Development LLC is not Intuit Inc., is not QuickBooks, and is not affiliated with, endorsed by, or sponsored by Intuit, except as an authorized developer using Intuit's published API. QuickBooks and QuickBooks Online are trademarks of Intuit Inc. Your use of QuickBooks Online is governed by your own agreement with Intuit.

6. Third-party services

Keystone Command relies on third-party providers for hosting, database, authentication, storage, email, and integrations. Availability, functionality, and continuity of any third-party integration depend on that provider and may change, be interrupted, or be discontinued without notice. We are not responsible for third-party services or for data loss caused by them.

7. Your data and intellectual property

You retain ownership of the content you submit to Keystone Command. You grant us a license to host, process, and display that content solely to operate the service. Keystone Command itself — including its software, design, and trademarks — remains the exclusive property of Keystone Development LLC.

8. Disclaimer of warranties

Keystone Command is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the software will be uninterrupted, error-free, or that any figures displayed are accurate or complete. Keystone Command does not provide accounting, tax, legal, or financial advice.

9. Limitation of liability

To the maximum extent permitted by law, Keystone Development LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business interruption, arising out of or related to your use of Keystone Command. Our total aggregate liability for any claim will not exceed the amounts you paid us for the software in the twelve months preceding the claim, or one hundred U.S. dollars ($100) if no fees were paid.

10. Indemnification

You agree to indemnify and hold harmless Keystone Development LLC from claims arising out of your misuse of the software, your violation of this Agreement, or your violation of applicable law or third-party rights.

11. Termination

We may suspend or terminate your access at any time, with or without cause, including for violation of this Agreement. You may stop using Keystone Command at any time. On termination, your license ends immediately; any connected integrations should be disconnected, and we will handle retained data as described in our Privacy Policy.

12. Governing law

This Agreement is governed by the laws of the State of Idaho, United States, without regard to its conflict-of-law rules. Venue for any dispute lies in the state or federal courts located in Ada County, Idaho.

13. Changes

We may update this Agreement. Continued use after an update constitutes acceptance of the revised terms.
